一、重庆丰源房地产开发有限公司与邓尚芸、周仁蜜商品房销售合同纠纷案

【裁判要旨】

房地产开发有限公司只有在联合建房办公室对小区公共建设费用“决算审核报告书”进行审核批复后,才能按决算报告书向业主请求收取公建公摊费用。如果联建办只是收到决算书不对决算报告书进行审核,房地产公司无法向业主主张权利。也不代表购房户作出拒不支付此部分款项的意思表示,即房地产公司此时并不能知晓其权利被侵害,如果以后房地产公司起诉购房用户绝不支付公建费用,联建办收到决算报告书的时间不是诉讼时效的起算点。

[Judgment Abstract] 

The real estate company may require house owners to share the expenses for joint construction in accordance with the annual account settlement report after it is reviewed and approved by the joint construction office. If the office receives the report but does not review the report yet, then the real estate company should not claim rights against house owners. Nevertheless, such circumstance cannot be interpreted as an intention that any house owner may refuse to pay a portion of the expenses for joint construction, that is to say, the real estate company does not know whether its rights are infringed. Where any real estate company files a lawsuit against the house buyers for their refusal to pay the expenses for joint construction, the limitation of action should not commence from the day when the joint construction office receives the settlement report.

二、邹东洋等诉三亚中铁置业有限公司商品房销售合同纠纷再审案

Zou Dongyang, et al. v. Sanya China Railway Real Estate Co., Ltd. (retrial case regarding dispute over a commercial housing sales contract)

【裁判摘要】

商品房买卖合同约定买受人存在违约行为时,出卖人可以延期交付商品房,且无需承担逾期交房的违约责任,因此买受人迟延履行合同约定的申请办理贷款义务的期间,应认定为出卖人顺延交付商品房的期间。但出卖人在顺延后的交付日期仍未交付房屋的,应按照合同约定向买受人支付顺延交付日期至买受人取得房屋期间的违约金。

[Judgment Abstract]

Where a buyer breaches the commercial housing sales contract, the seller may postpone the delivery of the house, without assuming any liability for the postponement as stipulated in the contract, as a result of which the period of the buyer's postponement to perform its obligations to apply for the loan as agreed in the contract should be deemed as the period of postponed delivery by the seller. However, if a seller fails to deliver the house within the postponed delivery date, it should pay the seller the liquidated damages calculated from the postponed delivery date to the actual delivery date.

三、刘道琳诉南京航空瑞华置业有限公司等房屋买卖合同案

Liu Daolin v. Nanjing Hangkong Ruihua Real East Co., Ltd., et al. (case regarding dispute over a contract for sale of commodity houses)

【裁判摘要】

依据《最高人民法院关于审理商品房买卖合同纠纷案件适用法律若干问题的解释》第八条之规定,商品房买卖合同订立后,出卖人又将该房屋出卖给第三人,导致商品房买卖合同目的不能实现的,无法取得房屋的买受人可以请求解除合同、返还已付购房款及利息、赔偿损失,并可以请求出卖人承担不超过已付购房款一倍的赔偿责任。因此,在买卖合同中,买方支付定金和大部分房款,说明买方已经履行应尽的合同义务。后卖方擅自将房屋出卖给第三人,致买卖合同无法继续履行的,其行为已经构成违约,应承担相应的违约责任。

[Judgment Abstract]

Under Article 8 of the Interpretation of the Supreme People's Court on the Relevant Issues concerning the Application of Law for Trying Cases on Dispute over Contract for the Sale of Commodity Houses, “After the contract is concluded, the seller sells the house to a third party, causing the purpose of the contract unable to be realized, the buyer unable to obtain the house may request the rescission of the contract, refund of the already paid money and the interest thereof, as well as the compensation for losses, and may also request the seller to bear the liability for compensation with no more than one time of the already paid money.” Therefore, in a contract for sale of commodity houses, the buyer's payment of the deposit and a majority of the house price indicates its fulfillment of due obligations thereof. If the seller sells the house to a third party without authorization, leading to a failure to continue the performance of the contract, the seller should bear corresponding liabilities for breach of contract.
