Full Guide for Registering a Company in China


Nowadays, many expats are engaged in business activities in China. For business activities to run smoothly, it is a good option to register your business in China and operate it legally.


This article will explain how a foreigner can register a business in China.

Steps of registering a company


We have written about the basic documents required for company registration before (check them in our menu). 



You can register a company following basic steps:


  • Submit the application to the local Administration of Market Regulation(市场监督管理局), they will verify your scope of business and Chinese company name;


  • Collect signatures for every person mentioned throughout your paperwork-such as: shareholders, supervisors, and legal representatives;


  • Obtain a Business Licence(营业执照) from the local Administration of Market Regulation;


  • Rent Business Offices;


  • Open a Chinese Bank Account;


  • Register in the local Taxation Administration(当地税务局).


Notice:


To register the company, your company should at least include a legal person(who can also be the investor/shareholder); a finance manager, and a supervisor.


If your work visa is sponsored by the company, to extend it, you need to provide proof of hiring a Chinese employee and that you paid social insurance for him/her.


What are the business scopes you can choose from?


The scope of business refers to the production, operation, and service projects that an enterprise can engage in, and is necessary information when applying for company registration.

Company types are broadly divided into 5 categories: trade; services; technology; engineering&construction; production&processing.

100,000 yuan is the minimum registered capital for business setup. This amount is the subscribed amount, which can be paid within a certain period of time after registration.


Proof of the company's normal operations 


Proof of the company's normal operations generally include:

  • Fapiaos for business transactions

  • Company bank account

  • Proof of hiring Chinese employees
