【裁判要旨】

根据商标法规定，申请注册的商标，在同一种商品或者类似商品上已经注册的或者初步审定的商标相同或者近似的，由商标局驳回申请。实践中，引证商标已被商标评审委员会裁定不予核准注册，其应为已经注册或初步审定的商标，不构成申请商标注册的权利障碍。

[Judgment Abstract]

Following the reform of the foreign investment examination and approval system, the establishment and change of foreign-funded enterprises other than the special administrative measures for foreign investment access will be changed from the administrative examination and approval system to the record management system. The record will not affect the validity of the contract. After being concluded, the equity transfer contract involved in this case has not been examined and approved. During the implementation period, the foreign investment examination and approval system has been reformed and implemented, therefore, the contract shall be determined as valid in accordance with the new laws.

三、德国赛锡科技有限公司与赛锡科技（保定）有限公司与英利能源（中国）有限公司等加工合同纠纷上诉案

合同违约金性质为补偿性质，应当与合同违约造成的实际损失相当。具体案件中，一方当事人违约，应当依据合同约定的违约条款承担相应违约责任，但双方约定的违约金过分高于所造成损失的，法院应当根据当事人请求，结合案件的实际损失、合同履行情况、当事人过错程度及预期利益等因素，将违约金酌情予以调减。

Contract liquidated damages are compensatory in nature, and therefore should be comparable to the actual losses caused by the breach of contract. In a specific case, if a party breaches the contract, they shall bear the corresponding liability for breach of contract in accordance with the breach clauses stipulated in the contract. However, if the contractual penalty agreed by the two parties is excessively higher than the actual losses, the court shall adjust or reduce the liquidated damages as appropriate, at the request of the parties, and in light of the actual losses in the case, the contract performance, the extent of the parties' faults and expected benefits, as well as other factors.
